Terms & Conditions – Deal Sourcing, Interior Design, Staging & Advisory Services

These Terms & Conditions apply to all services provided by Neon Road Ltd, including property sourcing, deal packaging, advisory services, interior design, furnishing, staging, procurement and related consultancy. By instructing us, making payment or proceeding with any service, you confirm acceptance of these Terms unless otherwise agreed in writing.

1. Our Services

Neon Road Ltd provides sourcing, property and implementation services based on criteria agreed with the client, including budget, location, strategy, layout and intended use. We may also assist with strategy guidance, compliance signposting, referencing support, insurance considerations, furnishing, staging, pricing and operational setup. All advice, projections and commentary are provided for guidance only. Neon Road Ltd acts as a sourcing and advisory company only and does not act as a solicitor, surveyor, mortgage broker, accountant or regulated financial adviser.

2. Client Due Diligence

The client remains solely responsible for carrying out all independent due diligence and making all final decisions before entering into any tenancy, lease, purchase, management agreement or commercial arrangement. This includes, without limitation, rental values, nightly rates, demand levels, comparable evidence, refurbishment costs, planning restrictions, legal and compliance obligations, licensing requirements, tax implications, area performance and suitability of strategy. No reliance should be placed solely on information supplied by Neon Road Ltd.

3. No Guarantees

Neon Road Ltd makes no guarantee of profitability, occupancy levels, mortgage approval, finance approval, landlord approval, agent approval, future property values, future market performance or operational success. All figures, projections and examples are estimates only and must not be treated as guarantees, warranties or promises of performance.

4. Fees & Payments

All fees are charged for access to knowledge, expertise, negotiation, contacts, communication, packaging, progression work already undertaken, together with time committed and resources allocated. Unless otherwise agreed in writing, all invoices are payable immediately when due, all balances must be cleared prior to key collection, handover or commencement, and procurement work will not begin until required payment has been received. Late payment may result in delays, rescheduling, suspension of services or loss of project dates. By making payment, the client confirms they are satisfied with the opportunity or service presented, have had sufficient opportunity to ask questions, have completed their own due diligence, wish to proceed and accept these Terms.

5. Cooling-Off Period & Refunds

A 24-hour cooling-off period applies from the time a reservation fee is paid. Any cancellation request must be made in writing within that period. After expiry of the cooling-off period, all fees are non-refundable except where the landlord, agent or developer formally withdraws the opportunity, or where the applicant fails referencing, provided no false, misleading or incomplete information has been supplied. In all other circumstances, fees are non-refundable and are not contingent upon investor performance, personal circumstances, property condition, utility issues, change of strategy, finance approval, landlord or agent approval, operational results or future outcomes.

6. Timelines & Delays

Any timelines given are estimates only. Neon Road Ltd reserves the right to amend timelines, pause progression or re-prioritise workloads where delays arise from landlords, letting agents, developers, solicitors, referencing providers, contractors, suppliers, delivery companies, utility companies or delays caused by the client failing to provide funds, documents or instructions promptly. We accept no liability for delays outside our reasonable control.

7. Interior Design & Staging Services

Design input must be requested at the outset. Design fees start from £500 plus VAT unless otherwise quoted. Unless a collaborative design service is specifically agreed, all styling, furnishing and layout decisions remain under our sole creative control using a commercial, revenue-led strategy. Projects generally complete within one to four weeks from procurement start, subject to stock availability and access. Where products become unavailable, delayed or increase in price, suitable alternatives may be sourced and any price difference shall be payable by the client. Once goods have been ordered, no changes or cancellations can be guaranteed. Design fees and staging payments are non-refundable once work has commenced.

8. Property Access & Condition

Clients must ensure that keys, codes and access permissions are available, that the property is empty unless agreed otherwise, and that the property is professionally cleaned, safe, hygienic and ready for installation. We do not undertake cleaning, rubbish removal or hazardous waste handling. If the property is not ready on arrival, we reserve the right to refuse to proceed, leave site, reschedule works and apply additional charges for wasted time, transport, storage, labour or administration. Where conditions are unsafe or unsanitary, the project may be cancelled immediately and payments shall remain non-refundable.

9. Completion & Acceptance

All works, furniture and installations must be inspected within 24 hours of completion. Any issues must be reported in writing to team@neonroad.co.uk with supporting photographs within that period. After 24 hours, the project shall be deemed accepted, completed and signed off in full. Returns, replacements, removals or amendments requested after completion shall be chargeable.

10. Liability for Outstanding Sums

Once any tenancy agreement, lease, management agreement, licence, handover document or related contractual documentation has been signed, the client becomes fully liable for all sums due to Neon Road Ltd and any relevant third-party partners connected to the transaction. This includes all agreed fees, invoices, balances and charges relating to sourcing, packaging, consultation, design, furnishing, staging, procurement, administration and any additional instructed services. Any unpaid sums shall remain payable as a debt. We reserve the right to commence recovery action, issue formal demands, instruct solicitors, appoint debt recovery agents and pursue all legal remedies available, including recovery of interest, administrative charges, legal costs and enforcement fees where permitted by law. Payment obligations are not cancelled by change of mind, delay, non-use of property, operational performance or personal circumstances.

11. Communication

All formal communication must be made in writing via team@neonroad.co.uk. We reserve the right to withdraw service or communication where behaviour is abusive, threatening, unreasonable or excessive.

12. Governing Law

These Terms, and any disputes or claims arising from them, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

Role as an Introducer:
Neon Road Ltd acts solely as an introducer between landlords, investors, operators, and other third parties. We do not act as letting agents, estate agents in a transactional capacity, financial advisors, brokers, or property managers unless explicitly agreed in writing.

Independent Due Diligence
All parties introduced by Neon Road Ltd are responsible for conducting their own due diligence, including but not limited to financial checks, referencing, legal advice, and suitability assessments prior to entering into any agreement. Neon Road Ltd does not verify or guarantee the accuracy of any information provided by third parties.

No Financial Advice
Any information provided by Neon Road Ltd is for general guidance only and does not constitute financial, legal, or investment advice. Parties should obtain their own independent professional advice before entering into any contractual arrangement.

No Guarantees
Neon Road Ltd makes no representations or warranties regarding tenant performance, the financial standing of any party, property income or profitability, contractual performance, business success, or any future outcomes. All agreements entered into following an introduction are made at the sole discretion and risk of the contracting parties.

Limitation of Liability
To the fullest extent permitted by law, Neon Road Ltd shall not be liable for any loss or damage arising from or connected with loss of rent, loss of profit, business interruption, tenant default, disputes between introduced parties, insolvency or liquidation of any party, or any indirect, incidental, or consequential loss.

Third Party Agreements
Neon Road Ltd is not a party to any agreement entered into between introduced parties and accepts no responsibility for the performance, enforcement, breach, or outcome of such agreements.

Maximum Liability
In the unlikely event that liability is established, the total liability of Neon Road Ltd shall be limited to the fee received by Neon Road Ltd for the specific introduction giving rise to the claim.

Indemnity
By accepting an introduction from Neon Road Ltd, all parties agree to indemnify and hold harmless Neon Road Ltd against any claims, liabilities, losses, damages, costs, or expenses arising from agreements entered into between introduced parties.
